# Ownership and insiders

Who holds the stock and who has traded it, from SEC filings: every 13F holder, the tracked superinvestors, 13D and 13G stakes, and the officers' and directors' own trades.

| At a glance | |
|---|---|
| Address | /stocks/<ticker>/ownership |
| Sources | SEC EDGAR: 13F, 13D, 13G, Form 4 |
| Delay | A 13F is filed up to 45 days after its quarter ends |
| Words | bought, added, reduced, sold — what a filing shows was done |

## The views

The Ownership tab reads only SEC filings, and shows one view at a time:

| View | What it shows |
|---|---|
| All holders | Every institution that reported the stock on its latest 13F, largest first, with each one's change against the quarter before |
| Holder activity | Who opened, added to, reduced or closed a position this quarter |
| Institutions | How much of the company 13F filers, insiders and everyone else hold, and how that has moved quarter by quarter |
| Superinvestors | The managers the site follows on its [investor pages](https://sweetvaluelab.com/investors), and what each did with the stock |
| Insider holdings | The officers' and directors' own shares |
| Insider transactions | Their Form 4 trades |

Where an activist or a large holder has filed a 13D or 13G on the company, the stake is shown under All holders.

All holders, Holder activity and Institutions are built from the SEC's quarterly 13F data sets, which come out about a month after the filing deadline; each view names the quarter and the data set it shows. The superinvestors' moves are read from their own filings as they arrive, so they appear sooner.

## What a 13F can and cannot tell you

A 13F lists an institution's long positions in US-listed stocks at the end of a quarter, and is filed up to 45 days later. So it is always a little old, it shows no short positions and no trades within the quarter, and a holding sold the day after the quarter ended still appears. The pages date every figure by the quarter it describes.

Share counts are restated for splits before two quarters are compared, so a ten-for-one split never reads as nine buyers.

## The words

The investor pages and this tab say what a filing shows a manager did, in the past tense — **bought** (a new position), **added**, **reduced** or **sold** (the whole position) — and never as advice. The words are the same across the site and through the MCP server.

## Insider trades

A Form 4 is filed within two business days of an insider's trade. The tab shows each trade with its transaction code — an open-market purchase or sale, an option exercise, a grant, shares withheld for tax — and marks trades made under a pre-arranged 10b5-1 plan, which are scheduled in advance rather than decided on the day.

## Where else it appears

The overview's 07 Ownership section sums the tab up, and each superinvestor's own page shows the stock from the manager's side: when they bought it, how the position changed, and what the price has done since.
